1. Acceptance of Terms

By accessing or using the website located at kiverify.com (the "Site"), you agree to be bound by these Website Terms of Use ("Terms"). If you do not agree, please do not access or use the Site.

These Terms apply to all visitors to the public-facing pages of kiverify.com, including anyone browsing product information, documentation, or marketing content, and anyone who begins but has not yet completed the KiVerify™ Ecosystem registration process. These Terms apply regardless of how you access the Site.

Your continued use of the Site following any update to these Terms constitutes your acceptance of the updated Terms.

2. Who We Are and What KiVerify™ Is

Covenantz, Inc. (“Covenantz,” “CVTZ,” “we,” “us,” or “our”) is a Delaware corporation with its registered address at The Corporation Trust Company, Corporation Trust Center, 1209 Orange St, Wilmington, DE 19801. Covenantz, Inc. is the infrastructure company for frictionless global business.

Kiverify.com is the public product website for KiVerify™, an independent verification ecosystem. Through this website, prospective participants can learn about KiVerify™ and review documentation. These Terms govern your use of the kiverify.com website only. Registration for the KiVerify™ Ecosystem takes place at ecosystem.kiverify.com and is governed by the KiVerify™ Ecosystem Terms of Service, not by these Terms.

3. Scope of These Terms

These Terms govern your access to and use of kiverify.com, the public product website for KiVerify™ (the "Public Pages"). Every page of kiverify.com is publicly accessible; kiverify.com does not host account registration, onboarding, or logged-in access. These Terms cover all text, graphics, data, tools, documentation, and other materials made available on the Public Pages ("Content").

kiverify.com links to the KiVerify™ Ecosystem, a separate surface located at ecosystem.kiverify.com. Registration, onboarding, and all authenticated use of the Ecosystem take place at ecosystem.kiverify.com. Following a link from kiverify.com to the Ecosystem takes you outside these Terms.

These Terms do not govern:

• The KiVerify™ Ecosystem, including registration, onboarding, and the authenticated Workspace, accessed at ecosystem.kiverify.com and governed by the KiVerify™ Ecosystem Terms of Service (see Section 4 below);
• The collection and use of your personal data by Covenantz through kiverify.com, governed by the KiVerify™ Website Privacy Policy at kiverify.com/legal/privacy-policy;
• The use of cookies on the Public Pages, governed by the Cookie Policy at kiverify.com/legal/cookies;
• The corporate website of Covenantz, Inc. at covenantz.net and covenantz.com, governed by the Covenantz Website Terms of Use at covenantz.net/legal/terms-of-use.

4. Relationship to the Terms of Service

The website kiverify.com is a public information website. It provides information about KiVerify™ and links to the KiVerify™ Ecosystem, which is a separate surface at ecosystem.kiverify.com. These Terms govern your use of kiverify.com as a visitor. The KiVerify™ Ecosystem Terms of Service ("TOS") is a separate, binding commercial contract that governs registration for and participation in the KiVerify™ Ecosystem. Any activity on the kiverify.com public website is subject to these Terms, whether or not you are a registered KiVerify™ Ecosystem User.

You agree to use kiverify.com only for lawful purposes and in a manner consistent with these Terms. Without limiting the foregoing, you must not:

• Use the Site in any way that violates applicable local, national, or international law or regulation;
• Attempt to gain unauthorized access to any part of the Site, the KiVerify™ Ecosystem infrastructure, or any server, computer, or database connected to the Site;
• Use automated tools to extract, scrape, index, or harvest Content or data from the Site without prior written permission;
• Submit false, misleading, or fraudulent information during pre-registration, through any contact form, or in any other interaction with Covenantz through this Site;
• Impersonate Covenantz, its officers, employees, contractors, or any other person or entity;
• Attempt to circumvent, disable, or interfere with any security or authentication features of the Site or the KiVerify™Ecosystem;
• Introduce any malicious code, viruses, or technologically harmful material through the Site;
• Use the Site or any Content to develop, train, or benchmark any competing product or service without prior written consent from Covenantz;
• Use the Site or any Content to train, fine-tune, benchmark, support, or improve artificial intelligence systems, machine learning models, automated verification systems, or synthetic data generation systems without prior written authorization from Covenantz.

We reserve the right to suspend or block access to the Site by any visitor who violates these Terms, without notice.

7. No Financial, Legal, or Regulatory Advice

Nothing on kiverify.com constitutes financial, legal, regulatory, compliance, or professional advice of any kind. All Content is provided for general informational and marketing purposes only. You should seek your own independent professional and legal advice before deciding to join the KiVerify™ Ecosystem or relying on any information presented on this website.

Any terms concerning KiVerify™ verification reports or other KiVerify™ Ecosystem outputs, including their nature, scope, and limitations, are set out in the KiVerify™ Ecosystem Terms of Service, not in these Terms.

Kiverify.com may contain links to external websites, including covenantz.net and third-party regulatory, legal, and partner websites. Such links are provided for your convenience only. Covenantz has no control over the content or availability of those sites and does not endorse or assume responsibility for them. Your use of any linked third-party site is entirely at your own risk and subject to that site’s own terms and conditions.

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COVENANTZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

Market data, statistics, and third-party claims presented on kiverify.com are sourced from external providers and are subject to change. Covenantz does not guarantee the accuracy, completeness, timeliness, or currency of any information on the Site. Product features, timelines, roadmap items, certifications, integrations, regulatory objectives, ecosystem capabilities, and commercial availability described on the Site are subject to change without notice and may evolve over time based on technical, operational, legal, regulatory, commercial, or strategic considerations.

Certain Content on the Site may contain forward-looking statements, conceptual descriptions, anticipated functionality, ecosystem development plans, compliance initiatives, or strategic objectives that are inherently subject to uncertainty, implementation constraints, evolving operational realities, and business or regulatory change.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COVENANTZ, INC., ITS OFFICERS, DIRECTORS, CONTRACTORS, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, KIVERIFY.COM OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL COVENANTZ’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO YOUR USE OF THE PUBLIC PAGES OF THIS SITE EXCEED ONE HUNDRED US DOLLARS (USD $100.00), EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, INCLUDING IN CASES OF FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT. THIS LIMITATION DOES NOT APPLY TO LIABILITY ARISING UNDER THE TERMS OF SERVICE, WHICH IS GOVERNED BY THE LIABILITY PROVISIONS OF THAT AGREEMENT.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Covenantz, Inc. and its officers, directors, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms or your use of the Site in violation of applicable law.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms or your use of the Public Pages of kiverify.com shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

You irrevocably waive any objection to the laying of venue in such courts and any claim that proceedings in such courts have been brought in an inconvenient forum.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in applicable law, the KiVerify™ product, or how kiverify.com operates. We will update the “Effective Date” at the top of this page when changes are made. For material changes, we will provide prominent notice on the Site. Your continued use of the Site after any change constitutes your acceptance of the updated Terms. Prior versions of these Terms may be available upon reasonable request by contacting admin@covenantz.com.

14. General

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. No waiver by Covenantz of any breach of these Terms shall be a waiver of any preceding or subsequent breach. These Terms, together with the KiVerify™ Website Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Covenantz with respect to your use of the Public Pages of kiverify.com. They are superseded in their entirety by the Terms of Service upon your completion of KiVerify™ Ecosystem registration.
